Introduzione

PTB Plutus Tradebase LTD (la “Società”) è una società costituita a Santa Lucia ai sensi dell’International Business Company’s Act, Cap. 12.14 (IBC Act) con la forma organizzativa e giuridica di una società a responsabilità limitata quale società commerciale internazionale (di seguito denominata “IBC”), con numero di registrazione 2025-00638 e sede legale al piano terra, The Sotheby Building, Rodney Village, Rodney Bay, Gros-Islet, Santa Lucia. La Società opera sotto il dominio di sua completa proprietà https://plutustradebase.com.

Le attività commerciali della Società comprendono, in particolare ma non esclusivamente, attività commerciali, finanziarie, di concessione e assunzione di prestiti, commerciali, di servizi, Forex intermediazione e servizi di gestione di conti nell’ambito di contratti per differenza (CFD) su valute, metalli preziosi, indici e qualsiasi altro contratto per differenza stipulato, ma non includono (a) azioni e titoli del capitale sociale della Società; (b) qualsiasi strumento che crei o riconosca un indebitamento, in particolare obbligazioni, titoli obbligazionari, titoli di prestito, titoli e pagherò; e (c) obbligazioni e altri strumenti che creino o riconoscano un indebitamento emessi da o per conto di qualsiasi governo partecipante, ad esclusione di qualsiasi titolo come definito dal Securities Act CAP 12.18 delle leggi riviste di Santa Lucia o qualsiasi ‘titolo’ come definito dal Securities Act CAP 12.18 delle leggi riviste di Santa Lucia, non richiedono una licenza specifica e possono essere svolti dalla Società in conformità con il proprio Statuto e Atto Costitutivo (Statuto). La Società non svolgerà alcun servizio finanziario specifico in o da qualsiasi giurisdizione in cui sia richiesta una licenza per tale servizio finanziario specifico.

La Società mira a proibire, rilevare e perseguire attivamente la prevenzione del riciclaggio di denaro, del finanziamento del terrorismo e di tutti gli altri reati presupposto e si impegna a rispettare tutte le leggi, le regole e i regolamenti correlati con la massima attenzione e senza compromessi riguardo a nessuna delle attività illegali sopra menzionate.

La Società riconosce l'importanza fondamentale della lotta al riciclaggio di denaro ("AML") e al finanziamento del terrorismo ("CTF") e si impegna ad attuare e rispettare i più elevati standard internazionali in materia di AML e CTF, nel pieno rispetto delle leggi di Santa Lucia.

Scopo della Politica

La presente Politica AML mira a fornire indicazioni chiare e trasparenza in merito alle procedure e ai protocolli seguiti dalla Società per individuare e prevenire attività di riciclaggio di denaro (ML) e finanziamento del terrorismo (TF), nel pieno rispetto delle leggi vigenti a Santa Lucia. La presente politica AML si applica a tutti i dirigenti, i dipendenti, i broker di riferimento e le entità affiliate della Società, nonché ai prodotti e ai servizi offerti. Tutti i dipendenti della Società sono tenuti a svolgere le proprie mansioni in conformità con i principi delineati nella presente politica. La Società si impegna ad adottare tutte le misure necessarie per garantire il rispetto dei propri obblighi; qualsiasi dipendente che non si attenga alle presenti politiche e procedure sarà soggetto a severe azioni disciplinari.

La Società è tenuta a rispettare le disposizioni delle leggi vigenti in materia di prevenzione del riciclaggio di denaro e del finanziamento del terrorismo. L’obiettivo principale di tali leggi è quello di definire e criminalizzare le attività connesse al riciclaggio di denaro e al finanziamento del terrorismo. Le persone giuridiche che svolgono attività finanziarie e di altro tipo devono adottare e mantenere in vigore determinate politiche e procedure volte a impedire che la propria attività venga utilizzata a fini di riciclaggio di denaro.

Ai fini della presente politica AML, il quadro normativo applicabile alla Società comprende, tra l’altro, quanto segue:

  • Legge sulle Società Internazionali - 12.14.
  • Legge sui servizi di rimessa di denaro - Capo 22.
  • Legge antiterrorismo 2 - 3.16.
  • Legge di Prevenzione del Riciclaggio di Denaro - 12.20.
  • Atti relativi ai proventi di reato – 3.04.
  • Sanzioni ONU (Contrasto al finanziamento della proliferazione)
  • L'Autorità di Vigilanza dei Servizi Finanziari
  • Qualsiasi altra normativa che disciplini questioni relative al AML e al CFT, oppure qualsiasi altro atto legislativo di Santa Lucia attualmente in vigore che abroghi, modifichi o integri quanto sopra menzionato
  • Qualsiasi altro atto, norma, raccomandazione o regolamento adottato dall’Autorità di intelligence finanziaria (FIA), dal Gruppo di azione finanziaria internazionale (GAFI) e dal Gruppo di azione finanziaria dei Caraibi (CFATF).

Riciclaggio di denaro e finanziamento del terrorismo

Riciclaggio di denaro include tutte le procedure per occultare l'origine dei proventi criminali in modo che sembrino provenire da una fonte legittima.

Per la presente Policy, si intende per ML anche le attività connesse al TF, inclusa la gestione o il possesso di fondi da utilizzare per scopi terroristici, nonché i proventi del terrorismo.

La Società è consapevole del rischio che i propri clienti, controparti e altri soggetti riciclino denaro in qualsiasi sua forma. La Società o il suo cliente non devono necessariamente essere parte di un'operazione di riciclaggio di denaro affinché sorga un obbligo di segnalazione.

Fasi di Riciclaggio di denaro

Ci sono tre fasi del riciclaggio di denaro:

  1. PosizionamentoIl conferimento fisico dei proventi in contanti. Nel caso di molti reati gravi (es. traffico di droga) i proventi assumono la forma di contanti che il criminale desidera immettere nel sistema economico legittimo. Il conferimento può essere realizzato attraverso una vasta gamma di mezzi a seconda delle opportunità offerte e dell'ingegnosità del criminale, dei suoi consulenti e della loro rete.

Tipicamente, può includere:

  • deposito di denaro contante in banca (spesso mescolato con un credito legittimo per oscurare la traccia di controllo), convertendo così il contante in un debito facilmente recuperabile;
  • trasferimento fisico di contanti tra giurisdizioni;
  • effettuare prestiti in contanti a imprese che sembrano legittime o sono collegate a imprese legittime, convertendo così anche contanti in debito;
  • acquisto di beni di pregio per uso personale o regali costosi per ricompensare colleghi attuali o potenziali con contanti;
  • acquisizione di servizi di individui di alto valore con contanti;
  • acquisto di attività negoziabili in transazioni una tantum; o
  • versare contanti sul conto del cliente di un professionista
  1. Stratificazione: Questo è il processo di separazione dei proventi di un reato dalla loro fonte, creando a volte complessi strati di transazioni progettate per mascherarne l'origine e ostacolare le indagini, la ricostruzione e la tracciabilità dei proventi; ad esempio, tramite trasferimenti telegrafici internazionali che utilizzano persone interposte o “società di comodo”, tramite l'inserimento e l'uscita da schemi di investimento o tramite il rimborso di crediti con proventi diretti o indiretti di un reato.
  1. Integrazione: Si tratta del reimmissione dei proventi riciclati nell’economia sotto forma di fondi aziendali apparentemente legittimi, ad esempio mediante la vendita di beni immobili o di attività aziendali legittime, il riscatto di azioni o quote di organismi di investimento collettivo acquisiti con proventi di reato, il passaggio da una forma di investimento all’altra o la rinuncia a polizze assicurative già versate

Reati Rilevanti in Materia di Riciclaggio di Denaro

A riciclaggio di denaro il reato è commesso da:

  1. occultamento o trasferimento di proventi di condotta illecita;
  2. organizzare con un altro la conservazione dei proventi di attività criminali;
  3. acquisizione, detenzione o utilizzo di proventi di reato

Soffiata

È un reato per chiunque sappia, sospetti o abbia fondati motivi di sospettare che sia stata fatta una divulgazione, o che le autorità stiano agendo o intendano agire in relazione a un'indagine sul riciclaggio di denaro, pregiudicare un'indagine informando la persona oggetto di un sospetto, o qualsiasi terza parte della divulgazione, dell'azione o dell'azione proposta.

Ostacolare le indagini

È un reato causare, consentire la falsificazione, nascondere, distruggere o comunque smaltire informazioni che potrebbero essere rilevanti per un'indagine sul riciclaggio di denaro.

Mancata divulgazione

È un reato se una persona non denuncia una transazione sospetta relativa al riciclaggio di denaro entro sette giorni dalla data in cui la transazione è stata ritenuta sospetta.

Finanziamento del terrorismo

Il finanziamento del terrorismo è la raccolta e l'elaborazione di fondi legali o illegali con qualsiasi mezzo, direttamente o indirettamente, con l'intenzione di utilizzare tali fondi o sapendo che saranno utilizzati, in tutto o in parte, per sostenere le attività di un terrorista o di un gruppo terroristico con qualsiasi mezzo. Un terrorista, o un gruppo terroristico, è colui che ha lo scopo di facilitare o compiere qualsiasi azione o attività terroristica. L'intenzione e la conoscenza sono sufficienti a dimostrare il reato di TF.

Le infrazioni antiterrorismo dovrebbero estendersi a chiunque fornisca o raccolga fondi o altri beni volontariamente, con qualsiasi mezzo, direttamente o indirettamente, con l'intenzione illecita che vengano utilizzati, o nella consapevolezza che verranno utilizzati, in tutto o in parte: per compiere uno o più atti terroristici; o da un'organizzazione terroristica o da un singolo terrorista (anche in assenza di un collegamento con uno o più atti terroristici specifici).

I reati di terrorismo dovrebbero includere il finanziamento di viaggi di individui che si recano in uno Stato diverso dal loro Stato di residenza o nazionalità allo scopo di perpetrare, pianificare, preparare o partecipare ad atti terroristici, o di fornire o ricevere addestramento terroristico.

È anche un reato TF:

  1. tentare di commettere il reato di TF;
  2. partecipare come complice a un reato di TF o a un tentativo di reato;
  3. organizzare o dirigere altri a commettere un reato terroristico o un tentativo di reato; e
  4. contribuire alla commissione di uno o più reati TF o tentativi di reato, da parte di un gruppo di persone che agiscono con uno scopo comune.

Procedure in atto

Le disposizioni legali adottate dalla Società implementano procedure e processi volti a garantire la conformità alle leggi pertinenti in materia di ML e TF.

Queste procedure sono allineate con le linee guida e le misure stabilite dalle autorità competenti di Saint Lucia.

L'Azienda conserva i registri delle transazioni per un periodo di sette anni dalla data in cui la transazione è stata effettuata. Inoltre, l'Azienda mantiene un registro che dettaglia la natura delle prove utilizzate per identificare o verificare l'identità di un individuo.

Costruzione del profilo economico del cliente

La Società si impegna a garantire di aver a che fare con un individuo legittimo e, a tal fine, otterrà prove sufficienti per verificarne l'identità. La Società adotterà tutte le misure ragionevoli per confermare l'identità di qualsiasi individuo che desideri aprire un conto, stabilire una relazione commerciale o effettuare una transazione occasionale significativa o una serie di transazioni collegate.

A tale riguardo, la Società ha stabilito una chiara procedura per la verifica dell'identità dei propri clienti. L'identità di un potenziale cliente deve essere stabilita prima dell'instaurazione di un rapporto commerciale con la Società e prima dell'esecuzione di qualsiasi transazione o della fornitura di qualsiasi servizio. Se la Società non è in grado di identificare e verificare un cliente, non procederà con alcuna transazione tramite conto bancario, non instaurerà un rapporto commerciale, né completerà la transazione. A seconda delle circostanze, la Società potrà recedere dal rapporto commerciale e valutare la segnalazione di una transazione sospetta all'autorità competente in merito al cliente.

I documenti e le informazioni da raccogliere prima dell'instaurazione di un nuovo rapporto d'affari tra la Società e un cliente dovranno includere lo scopo e le ragioni della richiesta di tale rapporto d'affari, le transazioni sui conti della Società, l'origine dei fondi in entrata e le destinazioni dei fondi in uscita, il patrimonio dei clienti e il reddito annuo stimato e una descrizione dettagliata delle attività commerciali della Società. Al fine di avere un profilo economico completo, la Società ottiene anche informazioni di base quali il nome della società, il paese di costituzione e l'indirizzo della sede legale, informazioni personali relative ai Titolari effettivi della Società, ai Direttori della Società e agli Azionisti della Società.

La Società vieta severamente a qualsiasi cliente, sia esso al dettaglio, professionale, idoneo o istituzionale, di intrattenere rapporti commerciali che comportino l'uso di conti o libretti di risparmio anonimi.

Processo di Valutazione del Rischio

Il processo di valutazione dei rischi nell’ambito del quadro normativo AML è concepito per identificare, valutare e mitigare i rischi connessi al riciclaggio di denaro (ML) e al finanziamento del terrorismo (TF). Tale processo consente alla Società di attuare controlli adeguati e di garantire la conformità alle disposizioni normative AML. Il processo di valutazione dei rischi AML prevede le seguenti fasi:

Identifica rischi
  • Comprendere le operazioni aziendali: Valutare i prodotti, i servizi, i clienti, l'esposizione geografica e i canali di distribuzione dell'azienda per identificare le aree vulnerabili al riciclaggio di denaro.
  • Esaminare le linee guida normative: tenere conto dei requisiti normativi relativi alla norma AML, delle raccomandazioni del GAFI e dei rischi derivanti dalla normativa di Santa Lucia.
  • Analizza i dati: Utilizza fonti di dati interne ed esterne per identificare modelli e tendenze di rischio, come tipi di clienti ad alto rischio, anomalie nelle transazioni o aree geografiche.
2. Valutare e classificare i rischi

    • Rischio cliente: analizzare i profili dei clienti (ad es. PEPs, soggetti con un patrimonio netto elevato) e le loro attività per individuare eventuali rischi intrinseci.
    • Rischio geografico: valutare le giurisdizioni coinvolte nelle transazioni dei clienti, comprese quelle sanzionate o ad alto rischio
    • Rischio legato a prodotti/servizi: valutare i rischi associati a specifici prodotti o servizi offerti, quali il private banking o le valute crypto.
    • Rischio di canale: Identificare i rischi nel modo in cui i prodotti o servizi vengono forniti, ad esempio nelle interazioni online o non di persona.
3. Evaluate Controls
  • Assess Existing Controls: Evaluate the adequacy of existing AML policies, procedures, and technologies in mitigating identified
  • Identify Gaps: Identify areas where controls are insufficient or outdated, such as outdated customer due diligence (CDD) or weak transaction monitoring systems.
  • Stress-Test Controls: Simulate scenarios to test the effectiveness of AML controls against high-risk activities.
4. Mitigate Risks
  • Enhanced Due Diligence (EDD): Implement stronger controls for high-risk customers, transactions, or regions (e.g., more frequent reviews or stricter identity verification).
  • Transaction Monitoring: Develop robust systems to flag suspicious activities or unusual transaction patterns.
  • Training and Awareness: Ensure employees understand AML risks and are trained to recognize and report red flags.
5. Monitor and Review
  • Continuous Monitoring: Use real-time transaction monitoring systems to detect and respond to suspicious activities promptly.
  • Periodic Risk Assessment: Reassess risks periodically to reflect changes in customer behavior, regulatory requirements, or business operations.
  • Review: Update policies and controls based on risk assessment findings, regulatory changes, or feedback from audits and investigations.

  • Risk Assessment Report: Document the risk assessment findings, including identified risks, mitigation measures, and residual

  • Audit Trail: Maintain comprehensive records to demonstrate compliance and facilitate audits or inspections.
7. Risk Assessment Tools
  • Risk Assessment Tools: Software to automate customer risk scoring, transaction monitoring, and geographic risk analysis.
  • AML Models and Metrics: Use key risk indicators (KRIs) and key performance indicators (KPIs) to track and evaluate the effectiveness of the AML framework.

This process is crucial as it ensures the Company proactively manages money laundering risks, upholds regulatory compliance, and protects its reputation.

Processo “Know Your Customer” (KYC)

The Know Your Customer (KYC) process is a vital component of the Anti-Money Laundering (AML) framework, involving procedures that financial institutions and regulated entities follow to verify the identity of their customers. The primary goal is to prevent identity theft, financial fraud, money laundering, and terrorist financing.

During the KYC process, the Company identifies potential clients and evaluates the associated risks based on the client's economic profile and risk categorization. The Customer Identification procedure is essential for gathering key information about the customer (such as name, address, date of birth, and contact details) and verifying their identity using valid documentation, such as government-issued identification.

Identity Verification Provider

The Company utilizes Veriff, a third-party identity verification service provider, to conduct KYC verification and liveness checks. Veriff's technology enables the Company to verify customer identities through document authentication and biometric facial recognition, ensuring compliance with AML/CFT requirements and reducing the risk of identity fraud.

Documentation Required for KYC

The specific requirements may differ depending on the jurisdiction and the type of customer (individual or corporate), but common documentation typically includes:

For Individuals:

1. Proof of Identity:

  • Passport
  • National ID card
  • Driver's license
  • Social security card (if applicable)

2. Proof of Address:

  • Utility bill (electricity, water, or gas) issued within the last 3 months
  • Bank statement or credit card statement
  • Rental agreement or property ownership documents

3. Additional Documentation (for Enhanced Due Diligence):

  • Source of funds declaration
  • Employment verification or income proof

For Businesses (Corporate KYC):

A ‘Beneficial Owner’ means any natural person(s) who ultimately owns or controls the customer and/or the natural person(s) on whose behalf a transaction or activity is being conducted.

The Company takes appropriate measures to verify the identity of the beneficial owner, ensuring it is confident in knowing who the beneficial owner is. For legal entities and arrangements, this includes financial institutions taking reasonable steps to understand the ownership and control structure of the customer.

Due diligence sulla clientela (CDD)

Customer Due Diligence (CDD) is the process of verifying the identity of the client. To confirm a client's identity, independent and reliable information is required. The Company gathers information regarding the purpose and intended nature of the business relationship and performs ongoing due diligence to ensure that the transactions conducted align with the Company's understanding of the customer, their business, and risk profile. This includes, when necessary, verifying the source of funds.

The Company determines the extend of the CDD measures on a risk-based approach considering the type of customer, the nature of the business relationship, and the transaction involved.

Customer Due Diligence must be applied when there is doubt about veracity or adequacy of previously obtained customer identification data, or when identifying and verifying the identity of customers:

  • On the establishment of the business relationship,
  • When carrying out occasional transactions above $25,000.00 or that are wire transfers on funds transfers,
  • When there is suspicious activity transaction,
  • When there is a suspicion of money laundering or terrorist

Due diligence semplificata (SDD)

The Company may apply Simplified Due Diligence (SDD) when a client is assessed to present a low level of risk. In such cases, the Company implements less stringent identification and verification measures compared to standard or enhanced due diligence. However, SDD does not exempt the client from the fundamental CDD requirements.

The Company ensures adequate monitoring of transactions and business relationships to detect any unusual or suspicious activities.

Due diligence rafforzata (EDD)

When the Company is dealing with natural persons or legal entities identified as high risk for ML or TF and classified as high risk based on the client's economic profile and the risk assessment conducted, the Company applies enhanced due diligence.

EDD is applied for clients with higher risks and includes:

  • Additional verification of identity
  • Detailed information to understand the source of funds
  • More frequent monitoring of transactions
  • Require documentation to verify the source of funds, particularly for large or unusual

The Company shall always apply enhanced client identification and due diligence procedures for the following clients, who are considered high-risk:

  • Cross-frontier correspondent
  • Non-face-to-face Clients
  • Account in names of companies whose shares are in bearer form
  • Trust accounts
  • Client accounts’ in the name of a third person
  • Politically Exposed Persons accounts
  • Clients from countries which inadequately apply FATF’s recommendations Additional customer risk factors include:
  • The business relationship is conducted in unusual circumstances
  • Clients are residents in geographical areas of higher risk
  • Legal persons or arrangements that are personal asset-holding vehicles
  • Companies that have nominee shareholders or shares in bearer
  • Businesses that are cash incentive
  • The ownership structure of a legal entity appears unusual or excessively complex given the nature of the company’s business.

Product, service, transaction or delivery channel risk factor:

  • Private banking
  • Products or transactions that might favour anonymity
  • Non-face-to-face business relationships or transactions, without certain safeguards such as electronic signatures
  • Payment received from unknown or un-associated third parties
  • New products and new business practices including new delivery mechanism and the use of new or developing technologies for both new and pre-existing

The Company maintains comprehensive records of all due diligence measures undertaken, including risk assessments and the rationale for the risk category assigned to each client.

The Company ensures that appropriate due diligence measures are in place to identify and verify a customer's identity using reliable, independent source documents, data, or information. Additionally, the Company conducts ongoing due diligence throughout the business relationship, closely monitoring and scrutinizing transactions to ensure they align with the Company’s knowledge of the customer, their business, risk profile, and, when necessary, the source of funds.

The screening process involves checking clients against various risk-related lists and databases to identify potential risks. The Company screens all clients against national and international sanctions lists and employs automated systems to ensure regular screening against updated sanctions. Additionally, the Company conducts reviews and rescreens existing clients in accordance with new watchlist updates, as per current regulations.

The Company documents and has in place specific policies and procedures to identify and manage Politically Exposed Persons (PEPs). It ensures that transactions involving PEPs are authorized by senior management, determines the source of funds and source of wealth for PEPs, and conducts ongoing EDD on all accounts held by PEPs.

The Company employs automated systems to regularly screen clients against updated sanctions and PEP lists. It periodically reviews and updates its screening criteria to maintain compliance with the latest regulations. Additionally, the Company conducts ongoing reviews and rescreens existing clients in accordance with updates to the watchlist, ensuring alignment with current regulatory requirements.

The Company monitors clients' activities based on their economic profiles, enabling employees to identify transactions that deviate from typical account behavior or appear complex, unusual, or lacking a clear economic purpose or legitimate explanation. Continuous monitoring of clients' accounts and transactions is a crucial component in effectively managing the risks of money laundering (ML) and terrorist financing (TF).

The Compliance/AML Officer is responsible for maintaining and enhancing the Company’s ongoing monitoring process. The Internal Auditor will review the Company's procedures related to this monitoring process at least once a year.

The monitoring process is based on risk assessment categories and the estimated transaction volume for each client. Employees conduct reviews of client transactions at least once a week, or as requested by the Company’s Compliance/AML Officer, and report their findings to the Compliance/AML Officer. Additionally, responsible employees provide daily records of clients' incoming and outgoing money transfers to the Compliance/AML Officer.

The Compliance/AML Officer monitors and ensures, on a frequent basis, that the actual amount of funds deposited by clients is consistent with the amount of funds indicated at account opening, as well as with the economic profile of the client.

Additionally, all employees must remain vigilant in identifying and reporting any activity or client behavior that appears inconsistent with the previously obtained information about the client and their business. Employees are required to notify their supervisor, who will then inform the Compliance/AML Officer. If the supervisor is unavailable, the employee should report the matter to the General Manager or an Executive Director.

The procedures and frequency of monitoring clients’ accounts and examining clients’ transactions are based on the level of risk associated with them, including:

  1. The identification of high-risk clients and facilitate enhanced monitoring of accounts and transactions, as deemed necessary,
  2. The identification of unusual or suspicious transactions that are inconsistent with the economic profile of the client for the purposes of further investigation.

The external reporting process involves filing a Suspicious Activity Report (SAR) with the relevant authorities, as required by law. Furthermore, the Company will terminate an account when its purpose or background is unclear, complying with the instructions of the competent authorities and facilitating any necessary inspections of transaction records.

Furthermore, the Company offers continuous education through refresher courses and newsletters, keeping employees informed about regulatory updates and emerging risks in the brokerage industry.

The Company conducts regular internal audits of its AML/CFT procedures to evaluate the effectiveness of the measures in place. Based on audit findings, regulatory updates, and the evolving risk landscape, the Company reviews and revises its policies and procedures as needed.

The Company reserves the right to refuse to process a transfer of funds at any stage if it believes it to be connected in any way to criminal activities or money laundering.

Third party or anonymous payments shall not be accepted. If the Company is not satisfied of who the sender of the money is, it reserves the right to reject the money and return it to the remitter less any transfer fees or other charges, the Company further reserves the right to terminate any account held with it with immediate effect. It may require the submission of additional documentation as required under applicable AML obligations or any similar applicable regulations.

The Company is prohibited from accepting any client business if the funds are sourced from criminal activities or if the nature of the account transactions is illegal in any manner whatsoever.

The Company is required to report all suspicious transactions and is prohibited from notifying the client that their transactions or account activity have been suspected or reported as suspicious. Account misuse may result in criminal prosecution.

The Company may terminate its business relationship with the client either with, or without notice, for a series of severe reasons, deriving from Regulatory Obligations, including taking measures against ML and extending (but, not limited to) breach of the client agreement and terms and conditions, bad faith, attempt to commit fraud, etc.
